1. Purpose
This statement explains the legal identity of the organisations and trading brands referred to on the Boxology® Academy and Boxology® Online websites. Its purpose is to ensure that customers, learners, donors, partners and website visitors understand which legal organisation is responsible for each course, purchase, payment, event, donation and project.
2. Legal identities
HEADGUARD C.I.C. is an active community interest company registered in England and Wales under company number 16212678. It is not a registered charity.
A separate Charitable Incorporated Organisation named HEADGUARD is currently being established and is applying for registration with the Charity Commission. It is not yet a registered charity and has not undertaken activities in the capacity of a CIO.
Boxology® Academy and Boxology® Online are commercial boxing-education brands operated by Boxology Limited, an active private company registered in England and Wales under company number 10523458. Boxology Limited is legally and financially separate from HEADGUARD C.I.C. and the proposed HEADGUARD CIO.
Boxology Academy Limited, company number 10803282, was dissolved on 25 June 2019. It has no current activity, assets, control or role in HEADGUARD C.I.C., Boxology Limited or the proposed HEADGUARD CIO. Current use of the name “Boxology Academy” refers to a trading brand operated by Boxology Limited and does not refer to the dissolved company.
3. Organisational separation
HEADGUARD C.I.C., Boxology Limited and, following registration, the proposed HEADGUARD CIO will maintain separate governance, finances, bank accounts, contracts, accounting records, operational records and decision-making.
No organisation has automatic authority to control, bind or incur liabilities on behalf of another. Any shared branding, educational materials, equipment, websites, data, personnel or other resources will be governed by an appropriate written arrangement that identifies ownership, permitted use, financial responsibility, data-protection responsibilities and termination rights.
4. Website transactions, donations and communications
Unless a webpage expressly states otherwise, courses, products and commercial services offered through the Boxology® Academy and Boxology® Online websites are provided by Boxology Limited, and payments for those courses, products and services are received by Boxology Limited.
Each donation, purchase, course, event and project will identify the legal organisation responsible for it. Donations and payments made through a website will be received only by the organisation clearly identified at the point of payment.
Where a page refers to HEADGUARD C.I.C. or the proposed HEADGUARD CIO, the wording will distinguish the relevant organisation clearly. HEADGUARD C.I.C. will not be described as a registered charity. The proposed HEADGUARD CIO will not be presented as a registered charity, or use a charity registration number, unless and until registration has been confirmed by the Charity Commission.
5. Review and publication
This statement is current as at 26 July 2026. It will be reviewed whenever there is a material change to the legal status, ownership, governance, website operation, payment arrangements or relationship between the organisations and, in any event, no later than the next review date shown above.
